Acceptance of Terms & Contractual Binding

These Terms and Conditions of Service ("Terms" or "Agreement") constitute a legally binding agreement between OmniviewOS (operated by Data Trans Limited, herein referred to as "OmniviewOS", "we", "us", or "our") and the subscribing healthcare institution, hospital network, clinic, or enterprise entity ("Healthcare Tenant", "Client", or "Subscriber") as well as all authorized clinical, administrative, and patient end users ("Users"). By creating a tenant account, accessing the Platform, logging into the administrative or patient portals, or using any OmniviewOS services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

Medical & Clinical Disclaimer

CRITICAL CLINICAL & MEDICAL DISCLAIMER: 1. Clinical Responsibility: OmniviewOS is an administrative, financial, and clinical workflow software tool. It IS NOT a licensed healthcare provider, medical diagnosis engine, or substitute for direct professional medical judgment by qualified physicians, nurses, or clinicians. All clinical decisions, triage assessments, prescription choices, drug dosage verifications, laboratory interpretations, and treatment plans executed on OmniviewOS remain the sole professional responsibility of the treating healthcare providers and facility staff. 2. Emergency PIN Overrides: Clinical override mechanisms (such as triage queue bypasses or emergency PIN overrides) are provided solely for emergency care velocity. The executing clinical user accepts full medical accountability for overriding standard facility protocols.

Multi-Tenant SaaS License & Access Rights

1. Grant of License: Subject to compliance with this Agreement and timely payment of applicable SaaS subscription fees, OmniviewOS grants the Healthcare Tenant a non-exclusive, non-transferable, revocable, worldwide right to access and operate its assigned multi-tenant instance (tenant.omniview.app). 2. User Account Management & Capability RBAC: • Role-Based Access: Access to Platform modules (Queue, Patients EMR, Admissions, Wards, Labs, Radiology, Pharmacy, Billing POS, HR/Payroll, Logistics, and Analytics) is restricted based on capability matrices configured by the Tenant Administrator. • Credential Safeguarding: Tenants are responsible for keeping all staff credentials, API keys, and PINs secure. Any action performed under a staff user account is deemed authorized by the Tenant.

Intellectual Property & Data Ownership

1. Ownership of Patient & Hospital Data: The Healthcare Tenant owns all right, title, and interest in and to all patient EMR data, Master Patient Index (MPI) records, financial ledgers, facility staff files, and clinical assets uploaded to or generated by its tenant instance ("Tenant Data"). OmniviewOS claims zero ownership over Tenant Data. 2. Platform Intellectual Property: OmniviewOS retains exclusive ownership of all software code, database schemas, UI designs, system architectures, workflows, trade secrets, trademarks, and documentation comprising the OmniviewOS Platform.

Service Level Agreement (SLA) & Uptime Commitment

• Uptime Target: OmniviewOS commits to a target platform availability of 99.9% uptime per calendar month, excluding scheduled maintenance. • Scheduled Maintenance: Maintenance windows requiring temporary service disruption will be announced at least 48 hours in advance during off-peak hours. • Data Backups: Automatic continuous database backups and point-in-time recovery (PITR) are maintained across redundant data centers.

Subscription Fees, Billing & Payment Terms

1. SaaS Billing: Subscription fees are billed monthly or annually per facility tier as defined in the Tenant Master Services Agreement (MSA). 2. Double-Entry General Ledger Integrity: Patient deposits, POS billing receipts, unearned revenue accounts, and HMO clearances generated within the /billing module represent institutional accounting entries managed by the Tenant. 3. Late Payments & Suspension: Accounts overdue by more than thirty (30) days are subject to service suspension following written notice.

Prohibited Uses & Acceptable Use Policy

Users and Tenants agree NOT to: • Attempt to bypass or break multi-tenant Row-Level Security (RLS) database isolation. • Reverse engineer, decompile, or extract the source code of OmniviewOS. • Share staff authentication credentials or clinical PINs across unauthorized individuals. • Use the Platform to transmit malicious code, malware, or unsolicited communications.

Limitation of Liability & Indemnification

1. Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall OmniviewOS, Data Trans Limited, or its directors, employees, or sub-processors be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, medical revenue, or data resulting from platform usage. 2. Indemnification by Tenant: The Healthcare Tenant agrees to defend, indemnify, and hold harmless OmniviewOS from and against any third-party claims, liabilities, damages, or costs (including medical malpractice claims or staff regulatory fines) arising from the Tenant's clinical care operations or breach of these Terms.

Termination & Data Export Grace Period

1. Termination for Convenience: Either party may terminate the SaaS agreement with thirty (30) days prior written notice. 2. 30-Day Data Export Window: Upon termination, OmniviewOS provides a 30-day grace period during which the Tenant can export all EMR, billing, and patient records in standard format (JSON/CSV/PDF). 3. Permanent Data Wiping: Following the 30-day grace period, tenant schemas and object storage buckets are permanently purged in accordance with NIST SP 800-88 sanitization standards.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Tenant Master Services Agreement. Any disputes arising under these Terms shall be resolved through binding commercial arbitration.
